DLA Piper represented Arendal, S. de R.L. de C.V. in a US$40 million offering of senior secured notes under a medium term note program, proceeds of which were used to finance the cost of engineering and constructing a correctional facility in southern Mexico. The deal closed in March 2012.
DLA Piper served as deal counsel in the transaction, as the firm has for three previous series of notes offered under the medium term note program. This series, however, represented a higher dollar amount as well as an expansion by the company (which had previously focused on pipelines) into a new industrial sector that is concession-based. This series also involved a significant reworking of transaction documents in order to accommodate the issuance of notes to both US and offshore investors.
